We may update these Terms from time to time. If we make significant changes, we will notify you, for example, by email to the address associated with your account or by posting a notice within the Services. Your continued use of the Services after the effective date of the new Terms signifies your acceptance of the updated Terms.

2. Description of Services

Kaademi is an online software platform that allows users to upload or record audio from live classes and generate written lesson notes and learning materials using artificial intelligence. The Services are designed to help student(e)s study more effectively and help teacher(e)s prepare and organize their lessons more efficiently. Kaademi provides tools for transcription, structured content generation, lesson management, and flashcards.

The information and tools provided by the Services are for educational and productivity purposes only and do not constitute professional pedagogical advice or guarantees of academic performance.

3. Eligibility

The Services are intended for users aged at least 13 years. If you are under 18 (or the age of majority in your jurisdiction), you may only use the Services with the consent and direct supervision of a parent or legal guardian, who must agree to these Terms on your behalf. If you are a parent or guardian and allow a minor to use the Services, you agree to be responsible for the minor's activities on the Services.

4. User Accounts

To use certain features of the Services, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us promptly if you suspect your account has been compromised. We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms or that your account has been used in an unauthorized manner.

5. Purchases, Subscriptions, and Payments

Certain parts of the Services are provided for free; other features are only available via paid subscriptions or one-time purchases (collectively, "Paid Services").

Paid Services are billed via our payment provider (currently Stripe). By purchasing or subscribing to Paid Services, you authorize us and our payment provider to charge the applicable fees and all related taxes in the currency indicated during checkout.

Any refunds will be processed at our reasonable discretion and in accordance with applicable law and our refund practices described on the Site.

7. Acceptable Use

You agree not to use the Services:

We reserve the right, but are not obligated, to monitor the use of the Services and to remove or disable access to any content or account that we reasonably believe violates these Terms.

8. User Content and Contributions

You may upload, record, create, or otherwise provide content via the Services, including audio, text, images, comments, and other materials ("User Content"). You remain the owner of your User Content and are solely responsible for it.

By providing User Content, you represent and warrant that:

You grant Kaademi a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, modify, translate, adapt, and create derivative works of your User Content as needed to operate, maintain, and improve the Services, to generate the results you request (such as transcripts, notes, and flashcards), and as described in our Privacy Policy. This license only exists as long as your User Content is stored in our systems in accordance with these Terms and our Privacy Policy.

9. Audio Files, Transcription, and Deletion

A core feature of the Services is the ability to upload or record audio content from live classes or similar educational sessions so that Kaademi can generate transcripts, lesson notes, and flashcards.

We use your audio solely to provide you with the Services, including transcription, generation of notes and flashcards, quality controls, and troubleshooting. Unless we are legally required to keep it longer (e.g., in the context of abuse reporting or security investigations), raw audio files are processed and then deleted from our active processing systems shortly after a successful transcription has been generated and the result has been securely stored in your account.

In general, we aim to delete raw audio immediately after successful processing, subject to a short technical buffer if necessary to ensure reliable operation of the Services (e.g., to retry a failed transcription). Resulting text data (such as transcripts, notes, and flashcards) may be stored in your account as long as your account remains active or as described in our Privacy Policy.

Limited technical logs and metadata (such as timestamps, file size, error codes, or usage info) may be retained for a longer period for security, compliance, and analysis purposes, as detailed in our Privacy Policy. However, these logs do not contain the full raw audio content.

10. Intellectual Property

We own or license all rights, titles, and interests in and to the Services, including the Site, software, user interface, design, logos, text, graphics, and other content made available by us (excluding your User Content) ("Kaademi Content"). Kaademi Content is protected by copyright, trademark, and other laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services and Kaademi Content solely for personal, educational, or internal commercial purposes. You may not copy, modify, distribute, sell, rent, reverse engineer, or create derivative works from the Services or Kaademi Content, except to the extent permitted by law.

11. Third-Party Services and Links

The Services may integrate or interact with third-party services (such as cloud providers, analysis tools, or AI platforms) and may contain links to third-party websites or resources. We do not control and are not responsible for third-party services, websites, or resources, and your use of them is subject to their own terms and privacy policies.

We are not responsible for any loss or damage resulting from your use of third-party services or websites. All transactions you have with third parties are solely between you and the third party.

13. Disclaimers

The Services and all content available through the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and all warranties arising from course of dealing or usage of trade.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that errors will be corrected. We do not warrant that results generated by the Services (including transcripts, notes, and flashcards) will be accurate, complete, or suitable for your specific needs. You remain responsible for verifying all results before relying on them.

15. Indemnification

You agree to indemnify, defend, and hold harmless Kaademi, its owner, affiliates, partners, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or in any way related to:

  • your access or use of the Services;
  • your User Content (including audio you upload or record);
  • your violation of these Terms; or
  • your violation of the rights of another person or entity.

16. Governing Law and Dispute Resolution

Subject to any mandatory consumer rights you may have, the courts of France will have non-exclusive jurisdiction over any dispute arising from or in connection with these Terms or the Services.

17. Modifications to Services

18. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services, or your account, if we reasonably believe that:

Upon termination, your right to use the Services will cease. Certain provisions of these Terms which, by their nature, should survive termination (such as intellectual property, limitations of liability, indemnification, and governing law) will continue to apply.

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the other provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms freely in the event of a merger, acquisition, corporate reorganization, or sale of assets.
